Employer Job Opportunity Submission, Publication Authorization, Release of Liability, Indemnification, and Media Use Agreement

This Employer Job Opportunity Submission, Publication Authorization, Release of Liability, Indemnification, and Media Use Agreement (“Agreement”) is entered into by and between International Development Institute (“School,” “Institution,” “we,” “us,” or “our”) and the employer, company, organization, agency, representative, recruiter, or hiring entity submitting a job opportunity for publication or distribution (“Employer,” “Company,” “Submitter,” “you,” or “your”).

By submitting a job opportunity, flyer, logo, company name, contact information, website link, job description, compensation information, hiring requirements, schedule, location, media file, or any other related material to International Development Institute, the Employer agrees to all terms and conditions stated in this Agreement.

1. Purpose of Agreement

The purpose of this Agreement is to allow International Development Institute, at its sole discretion, to share third-party employment opportunities with students, graduates, alumni, applicants, visitors, and other individuals who may view or receive information from the School. The Employer understands and agrees that International Development Institute is not the employer, hiring agent, staffing agency, recruiter, broker, guarantor, verifier, sponsor, representative, partner, joint venturer, or legal agent for the job opportunity submitted by the Employer. International Development Institute is only providing a space or method to share third-party employment information for informational purposes.

2. Authorization to Publish and Promote the Job Opportunity

The Employer expressly authorizes International Development Institute to publish, display, distribute, repost, reproduce, promote, communicate, print, store, archive, and share the submitted job opportunity and related materials through any media or communication method selected by International Development Institute, including but not limited to the School’s website, online job opportunity pages, student portals, email communications, text message communications where applicable, printed flyers, printed bulletins, bulletin boards, classroom postings, office postings, admissions or career services materials, social media, video presentations, digital screens or monitors, newsletters, printed packets, orientation materials, career opportunity handouts, school promotional materials, third-party educational or employment-related communication channels used by the School, and any other print, digital, electronic, video, or media format used by International Development Institute for the purpose of informing individuals about employment opportunities.

This authorization applies to the original job posting submitted by the Employer and to any edited, formatted, resized, summarized, redesigned, converted, or restructured version prepared by International Development Institute for readability, formatting, design, publication, accessibility, or communication purposes.

3. Authorization to Use Employer Name, Logo, Branding, and Contact Information

The Employer grants International Development Institute a non-exclusive, royalty-free, worldwide, revocable subject to the removal terms stated in this Agreement, limited license to use the Employer’s company name, trade name, logo, business address, website address, email address, phone number, contact person’s name, hiring manager’s name, recruiter’s name, social media handles or links, job application links, flyer, brochure, image, advertisement, job description, compensation information, schedule information, benefits information, company description, hiring requirements, media files, photographs, graphics, and any other materials or information provided by the Employer.

The Employer represents and warrants that it has full legal authority to grant this authorization and that International Development Institute’s use of the submitted materials will not violate the rights of any third party, including copyright, trademark, privacy, publicity, confidentiality, contractual, employment, or intellectual property rights.

4. No Employment Guarantee or Placement Guarantee

The Employer understands and agrees that International Development Institute does not guarantee that any student, graduate, applicant, visitor, or other person will apply for the position, be contacted by the Employer, be interviewed, be hired, accept employment, remain employed, meet the Employer’s requirements, possess any specific skill level, possess any specific certification, license, authorization, or work status, satisfy background check requirements, satisfy drug testing requirements, satisfy physical requirements, satisfy experience requirements, or meet any condition imposed by the Employer.

5. Employer Is Solely Responsible for the Job Opportunity

The Employer is solely and exclusively responsible for the truthfulness, accuracy, legality, completeness, timeliness, and validity of the submitted job opportunity and all related information. The Employer is solely responsible for the existence of the job opportunity, the accuracy of the job title, description, compensation, schedule, work location, classification, benefits, hiring requirements, application links, contact information, lawful use of logos and branding, compliance with wage and hour laws, anti-discrimination laws, equal employment opportunity laws, labor and employment laws, immigration and employment authorization laws, occupational licensing requirements, background check laws, consumer reporting laws, privacy and data protection laws, workplace safety laws, and all applicable federal, state, and local laws, rules, regulations, ordinances, and agency requirements.

6. No Verification, Endorsement, or Partnership

International Development Institute is not required to verify, investigate, audit, inspect, confirm, monitor, update, or independently evaluate the job opportunity or any information submitted by the Employer. Any review performed by International Development Institute shall not be considered verification, approval, endorsement, certification, guarantee, sponsorship, recommendation, or validation of the Employer or the job opportunity. Publication of a job opportunity does not create any partnership, agency relationship, sponsorship, or endorsement.

7. Employer’s Duty to Provide Accurate and Lawful Information

The Employer represents and warrants that all information and materials submitted to International Development Institute are true, accurate, current, lawful, non-misleading, and complete at the time of submission. The Employer agrees not to submit any job opportunity that is false, misleading, deceptive, fraudulent, expired, nonexistent, discriminatory, unlawful, unsafe, in violation of labor laws, wage and hour laws, licensing laws, privacy laws, immigration or employment authorization laws, third-party rights, government agency rules or regulations, related to illegal activity, related to exploitation, harassment, coercion, unsafe working conditions, or otherwise inappropriate for publication by International Development Institute.

8. Continuing Duty to Update the School

The Employer has an ongoing obligation to notify International Development Institute in writing if the position is filled, canceled, placed on hold, changed, unavailable, outdated, or if the compensation, schedule, work location, contact person, application link, job requirements, flyer, or any other submitted information changes or becomes inaccurate, incomplete, misleading, or outdated.

9. Removal Requests Must Be Submitted in Writing

The Employer must submit all requests to remove, modify, replace, correct, suspend, or discontinue publication of a job opportunity in writing. The Employer is responsible for ensuring that the written notice is actually received by International Development Institute. The Employer understands that emails may be delayed, blocked, filtered, misdirected, rejected, sent to spam or junk folders, affected by server problems, affected by typographical errors, affected by mailbox limits, affected by internet service interruptions, or otherwise not received in a timely manner.

10. Time Allowed for Removal or Modification

After International Development Institute receives written notice requesting removal or modification of a job opportunity, International Development Institute shall have up to sixty (60) calendar days to remove, modify, replace, correct, suspend, or discontinue the posting from its active publications. Removal may require coordination across different media, formats, platforms, printed materials, bulletin boards, archived files, search engine caches, third-party platforms, digital backups, physical postings, internal systems, and previously distributed materials.

11. No Liability for Continued Appearance After Removal Request

The Employer understands and agrees that International Development Institute shall not be liable for any continued appearance, delayed removal, cached copy, archived copy, printed copy, screenshot, forwarded email, downloaded file, social media share, third-party repost, search engine result, bulletin board copy, video copy, digital backup, historical record, or previously distributed version of the job opportunity.

12. Printed Materials, Online Archives, Caches, and Third-Party Reposts

The Employer understands and agrees that printed materials may not be immediately retrievable or removable once distributed, posted, handed out, mailed, displayed, copied, photographed, scanned, uploaded, archived, or otherwise shared. Online information may remain visible through search engines, cached pages, archived pages, social media shares, third-party reposts, screenshots, downloads, browser caches, website backups, content delivery networks, external websites, or other systems outside the direct control of International Development Institute.

13. Employer Responsibility for Applicants and Hiring Process

The Employer is solely responsible for all communications, screenings, interviews, hiring decisions, onboarding, background checks, drug tests, employment eligibility verification, employment forms, payroll, taxes, wage payments, scheduling, supervision, workplace safety, working conditions, discipline, termination, benefits, insurance, workers’ compensation, unemployment insurance, discrimination compliance, harassment prevention, accommodation obligations, and any other employer responsibilities.

14. Employer Responsibility for Applicant Data

If applicants contact the Employer or submit personal information to the Employer, the Employer is solely responsible for protecting that information and complying with all applicable privacy, data security, consumer protection, employment, and recordkeeping laws. International Development Institute shall not be responsible for how the Employer collects, stores, uses, shares, protects, deletes, sells, transfers, or otherwise processes applicant information.

15. No Fees or Improper Charges to Applicants

The Employer represents and warrants that it will not charge improper, unlawful, deceptive, undisclosed, or misleading fees to applicants who respond to a job opportunity shared by International Development Institute. The Employer shall be solely responsible for any fees, payments, purchases, deposits, background check charges, training fees, equipment costs, uniform costs, application charges, or other costs requested from applicants.

16. Equal Employment Opportunity, Non-Discrimination, Classification, Compensation, and Safety

The Employer represents and warrants that the job opportunity and hiring process shall comply with all applicable equal employment opportunity, anti-discrimination, anti-harassment, disability accommodation, wage and hour, labor, employment, and human rights laws. The Employer is solely responsible for worker classification, compensation, benefits, workplace safety, working conditions, payroll, taxes, and all employment-related obligations.

17. Employer Indemnification

To the fullest extent permitted by law, the Employer agrees to indemnify, defend, and hold harmless International Development Institute and its owners, officers, directors, administrators, employees, instructors, agents, representatives, contractors, affiliates, successors, and assigns from and against any and all claims, demands, complaints, lawsuits, administrative actions, investigations, damages, liabilities, judgments, settlements, penalties, fines, costs, expenses, losses, and attorney’s fees arising out of or related to the Employer’s job opportunity, submitted materials, hiring process, communications with applicants, employment relationship with any applicant, workplace conditions, compensation practices, job requirements, classification of workers, use or misuse of applicant data, inaccurate or misleading information, alleged discrimination, harassment, retaliation, wage violation, safety violation, privacy violation, consumer protection violation, employment law violation, intellectual property claim, fraudulent or unavailable job opportunity, failure to notify International Development Institute of changes or removal requests, continued appearance of the job opportunity, third-party reposting, applicant reliance, acts or omissions by the Employer, or breach of this Agreement.

18. Release and Limitation of Liability

To the fullest extent permitted by law, the Employer releases International Development Institute and its owners, officers, directors, administrators, employees, instructors, agents, representatives, contractors, affiliates, successors, and assigns from any and all claims, demands, damages, losses, liabilities, expenses, penalties, fines, complaints, lawsuits, administrative proceedings, attorney’s fees, or causes of action arising out of or related to the publication, distribution, promotion, sharing, removal, delayed removal, formatting, editing, display, or use of the job opportunity and related materials.

International Development Institute shall not be liable for any direct, indirect, incidental, special, consequential, punitive, exemplary, reputational, economic, employment-related, business, regulatory, administrative, or third-party damages arising out of or related to the job opportunity, its publication, its removal, its continued appearance, the Employer’s hiring process, or any applicant’s response to the job opportunity.

19. Right to Refuse, Edit, Remove, or Decline Publication

International Development Institute reserves the right, in its sole discretion, to refuse, edit, format, shorten, modify, suspend, remove, decline, reject, or discontinue publication of any job opportunity at any time, with or without notice, for any reason or no reason. No Employer has a guaranteed right to publication.

20. No Compensation Owed to Employer and No Fee for This Service

The Employer understands and agrees that International Development Institute does not owe the Employer any payment, royalty, fee, commission, reimbursement, advertising credit, marketing fee, or compensation for publication or use of the submitted job opportunity, company name, logo, flyer, or related materials. International Development Institute does not charge the Employer a fee for submitting a job opportunity through this employment opportunity service.

21. Representative Authority

The person submitting the job opportunity represents and warrants that he or she has full authority to act on behalf of the Employer and to bind the Employer to this Agreement. If the Submitter lacks such authority, the Submitter agrees to be personally responsible for any claims, damages, losses, costs, or liabilities arising from the unauthorized submission.

22. Technical Logging and Security Information

For security, verification, audit, and fraud-prevention purposes, International Development Institute may record technical submission information, including but not limited to IP address, browser type, user agent, device information, referring page, submission date and time, uploaded file name, and page from which the submission was made.

23. Entire Agreement, Severability, Governing Law, and Venue

This Agreement constitutes the entire agreement between the Employer and International Development Institute regarding the submission, publication, distribution, promotion, and removal of job opportunities. If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law. This Agreement shall be governed by the laws of the State of New York. Any dispute arising out of or related to this Agreement shall be brought in a court of competent jurisdiction located in New York County, New York, unless otherwise required by applicable law.

24. Acknowledgment and Acceptance

By checking the acceptance box and submitting the job opportunity, the Employer acknowledges and agrees that the Employer has read this Agreement, understands this Agreement, agrees to be legally bound by this Agreement, is solely responsible for the submitted job opportunity, and agrees to indemnify, defend, and hold harmless International Development Institute from all claims arising from or related to the job opportunity.
